These Terms & Conditions (“Terms”) govern your access to and use of the websites, dashboards, and mobile applications operated under AscendLearn and our education products (including AscendArgus and AscendUMS) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Accounts

  • You must be able to form a legally binding contract to use the Services. If you are a minor, a parent/guardian or your institution must authorize your use.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You agree to provide accurate information and keep it updated. We may suspend or terminate accounts with inaccurate, misleading, or incomplete information.

2. Acceptable Use

You agree not to misuse the Services. This includes (but is not limited to):

  • Attempting to gain unauthorized access to accounts, systems, or data.
  • Uploading malware, exploiting vulnerabilities, or disrupting the Services.
  • Harassing, abusing, defaming, or violating the rights of others.
  • Using the Services to violate any applicable law or regulation.
  • Copying, scraping, reverse engineering, or reselling the Services except as expressly permitted by us in writing.

We may investigate suspected misuse and may suspend or terminate access at any time to protect users, institutions, or the Services.

3. Institutions & Student Use

  • If you access the Services through a school, coaching center, or other organization (“Institution”), your use may also be governed by the Institution’s policies and any separate agreement with us.
  • Institutions are responsible for user provisioning, role assignments, and managing access for their staff, parents, and students.
  • If you are a student, your account may be created and managed by your Institution or parent/guardian. Please use the Services only for educational purposes and in accordance with your Institution’s guidelines.

4. Content & Intellectual Property

  • The Services (including software, designs, trademarks, and branding) are owned by us or our licensors and are protected by intellectual property laws.
  • Course materials, videos, documents, and assessments may be owned by institutions, educators, or other content providers. You must not reproduce, distribute, or publicly share such content without permission.
  • If you submit content (including assignments, comments, uploads, or feedback) (“User Content”), you grant us a limited license to host, store, process, and display it solely to operate and improve the Services and to provide it to you and your authorized Institution users.
  • You represent that you have the rights to submit your User Content and that it does not infringe the rights of others.

5. Payments, Plans & Refunds

  • Some features may require payment (subscriptions, licenses, add-ons, or in-app purchases). Prices, plan details, and billing frequency will be shown at purchase time.
  • Unless stated otherwise, fees are non-refundable except where required by applicable law.
  • If you purchase through Apple’s App Store or Google Play, billing and refunds are handled by the respective platform and are subject to their policies.

6. Third-Party Services & App Stores

  • The Services may integrate with third-party services (e.g., payment processors, messaging/SMS providers, video providers, analytics, or LMS tools). Your use of third-party services may be subject to their separate terms and policies.
  • We are not responsible for third-party products, services, or content.

Additional notes for mobile apps

  • If you download our iOS app, you acknowledge that Apple is not responsible for the Services and has no obligation to provide support for the app.
  • If you download our Android app from Google Play, you acknowledge that Google is not responsible for the Services and does not provide support for the app.
  • Your use of the mobile app may also be subject to the applicable platform terms (e.g., App Store/Google Play terms) and device terms.

7. Privacy & Data

Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to the handling of data as described there.

  • We may process data to provide the Services (e.g., account access, learning progress, assessments, attendance, communications, and support).
  • Institutions may control certain data (e.g., student rosters, course enrollments, academic records) and may have additional obligations under education/privacy laws.

8. Disclaimers

  • The Services are provided on an “as is” and “as available” basis.
  • We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
  • Educational content and outcomes depend on multiple factors (including institutions, instructors, and learners). We do not guarantee academic results.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities arising from or related to your use of (or inability to use) the Services.

To the maximum extent permitted by law, our aggregate liability for any claim related to the Services will not exceed the amount paid by you (if any) for the applicable Services during the 3 months preceding the event giving rise to the claim.

10. Indemnity

You agree to defend, indemnify, and hold us harmless from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your User Content, or your violation of these Terms or applicable law.

11. Suspension & Termination

  • We may suspend or terminate your access if we reasonably believe you violated these Terms, posed a security risk, or harmed other users or the Services.
  • You may stop using the Services at any time. Certain data may remain available to your Institution as required for academic records and compliance, subject to our Privacy Policy and applicable law.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date on this page. Continued use of the Services after changes become effective means you accept the updated Terms.

13. Governing Law

Unless otherwise required by applicable law, these Terms are governed by the laws of India, and the courts located in Kolkata, West Bengal will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services.

Note: If your Institution has a separate written agreement with us, that agreement may supersede parts of these Terms for the Institution’s use.
